END USER LICENSE AGREEMENT
Oribi Technology Services - Digital Signage Service
By checking the box below, you agree to the following terms:
1. SERVICE & LICENSE
You are subscribing to a hosted digital signage content management service ("Service") provided by Oribi Technology Services ("Provider"). The Service utilizes open-source digital signage software and includes custom proprietary components, licensed under AGPL-v3 and proprietary licenses respectively. You receive access to use the Service but do not receive a separate license to the underlying software code. The complete corresponding source code for open-source components, including any Provider modifications, is available at:

• Custom Theme: https://source.otshosting.app/OTSSigns/OTSSignsTheme
• Upstream Project: https://github.com/xibosignage/xibo-cms
Nothing in this Agreement restricts your rights under the AGPL-v3 license for the open-source components of the Service.
2. FEES & PAYMENT
• Fees are based on your selected package and number of active players
• Monthly plans: billed in advance on the 1st of each month, due within 30 days
• Annual plans: billed in advance with 20% discount, due within 30 days
• Access to the CMS will be suspended for non-payment until account is current
• You may upgrade/downgrade by opening a support ticket with Oribi Technology Services
• Pricing may change with 30 days' written notice
• Auto-renewal applies unless canceled 2 days prior to renewal
3. YOUR DATA & SECURITY
• You own your data; we process it only to provide the Service
• DO NOT store proprietary, confidential, or sensitive information (trade secrets, HIPAA/GDPR/PCI-DSS protected data) in the Media Library
• Media Library is for temporary non-confidential assets only (logos, photo/video marketing assets, icons, etc.)
• We implement reasonable security measures but make no guarantees regarding Media Library confidentiality
• In case of data breach, we will notify you promptly
• Upon termination, your data is deleted within 30 days
4. SUPPORT & UPTIME
• Support: 9am-5pm ET, Monday-Friday
• Contact support by opening a ticket at https://portal.oribi-tech.com or emailing support@ots-signs.com
• Response times: Critical (4hrs), High (24hrs), Medium (48hrs), Low (72hrs)
• We use commercially reasonable efforts to maintain uptime
• Updates and patches may be released at our discretion
5. TERM & TERMINATION
• Either party may terminate with 7 days' written notice
• Immediate termination for material breach if not cured within 30 days
• Upon termination: cease Service use, unpaid fees become due immediately
• Initial setup: 5 days; Data retention: 30 days after termination
6. WARRANTIES & LIABILITY
• THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND
• Provider makes no warranties regarding open-source software components; such components are provided under AGPL-v3 terms without warranty
• WE ARE NOT LIABLE FOR INDIRECT, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES
• Our total liability is limited to fees paid in the prior 12 months
• You agree not to violate applicable laws or infringe our intellectual property
7. INTELLECTUAL PROPERTY
Provider retains all rights to proprietary code and components not licensed under AGPL-v3. You may not claim ownership of Provider's proprietary components or reverse-engineer non-AGPL portions of the Service. Your rights to study, modify, and share AGPL-v3 licensed components remain as granted by that license.
8. GENERAL TERMS
• This agreement constitutes the entire agreement between parties
• Disputes will be resolved through good-faith negotiation, then binding arbitration under AAA rules
• Governed by the laws of New York State
• Neither party liable for force majeure events
• You may not assign this agreement without written consent
